  • § 7-1.1-7 Corporate name. – (a) The corporate name:
    (1) Shall contain the word "corporation," "company," "incorporated," or "limited," or shall contain an abbreviation of one of the words.
    (2) Shall not contain any word or phrase which indicates or implies that it is organized for any purpose other than one or more of the purposes contained in its articles of incorporation.
  • § 7-1.1-25 Bylaws. – The bylaws may contain any provisions for the regulation and management of the affairs of the corporation not inconsistent with law or the articles of incorporation. The initial bylaws of a corporation shall be adopted by its incorporators or by its board of directors at its organization meeting. Subsequently, the bylaws may be amended by the shareholders, or, unless otherwise provided in the articles of incorporation or bylaws, by the board of directors, but any amendment to the bylaws by the board of directors may be changed by the shareholders.
