LLC Question 172

LLC Operating Agreement Form Price: $16.99 (free trial)
PLLC Operating Agreement Form Price: $20.99 (free trial)

Question: Who can be our LLC's "registered agent" in New Mexico where our LLC shall be registered? Related question: I am having trouble locating the "Articles of Incorporation".

Response: Here are the statutory requirements for a registered agent under the New Mexico LLC statute:
53-19-5. Registered office and registered agent.
A. A limited liability company shall maintain in New Mexico:
(1) a registered office that may be the same as the limited liability company's principal place of business; and
(2) a registered agent for service of process on the limited liability company that is either:
  1. an individual resident of New Mexico;
  2. a domestic corporation, limited liability company or partnership having a place of business in New Mexico that is the same as the registered office; or
  3. a foreign corporation, limited liability company or partnership authorized to transact business in New Mexico having a place of business that is the same as the registered office.
Link see Chapter 53, Article 19. If you do not have an individual associated with your LLC in New Mexico to act as your registered agent, there are companies that provide this service for out-of-state businesses. I'd suggest a Google search.

On the issue of "articles of incorporation", these would not be used by an LLC. The term "articles of incorporation" refer to a corporation. Perhaps you refer to "articles of organization" which is the formal document presented to state to seek your charter. Here is a link to the New Mexico LLC articles of organization form. This is a free, fill in the blank form. Here is a link to the home page for the New Mexico Public Regulation Commission which regulates business organizations in the state.
