LLC Question 118
Question: The organization which I am working with would like to remove a original organizer from their LLC paperwork. The organization has filed the LLC paperwork with the State of Georgia and have a signed Operating Agreement. Could you tell me what steps need to be taken to remove the non-participating organizer.
Response: I'm a bit confused as to why one would want to "remove an original organizer". The organizer is the person or persons who signs and files the LLC articles of organization. To my knowledge, an organizer has no official roll in the LLC once the members are named in an operating agreement. I've never heard of trying to remove an organizer but it is common for LLCs to amend their articles of organization after the LLC is formed. Be that as it may, here is a link to the contract information for Georgia Secretary of State's office. I'd give them a call and see if they have a suggestion for you on how to proceed.
