Question:
Our Colorado S Corp was established with only my husband's name on the Articles of Incorporation, but we want to acknowledge me as part owner of this business. Can we, as the only 2 investors in this corp., complete all the necessary legal documentation (naming board of directors, issuing stock certificates, etc.) without the help of a lawyer? And if so, where would we find these legal forms?
Response: Can it be done without a lawyer? Yes but only a lawyer can give you the assurance that all documents were properly prepared to meet your needs. We sell online corporate bylaws that come with resolutions naming the board of directors, officers, and adopting the bylaws. As far as stock certificates, you can get these at many office supply stores and online (one of many sellers of stock certificates).
